Terms and Conditions

Effective Date: October 10, 2025

California Automata™ ("we," "our," or "us") provides automation services subject to the following Terms and Conditions. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

## 1. Ownership and Rights

California Automata™ is wholly owned and operated by Aditya Patange. All rights, title, and interest in and to California Automata™, including but not limited to:

  • The California Automata™ trademark and brand.
  • Website, software, code, and technology.
  • Business processes and methodologies.
  • Client relationships and agreements.
  • All intellectual property and proprietary assets.

are the exclusive property of Aditya Patange. No rights or licenses are granted except as explicitly stated in a written agreement signed by Aditya Patange.

## 2. Acceptance of Terms

By submitting an automation request through our website, clicking "I agree," or using our services in any manner, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions and our Privacy Policy. These Terms constitute a binding legal agreement between you and California Automata™.

## 3. Service Description

California Automata™ provides automation consultation, integration, and implementation services for businesses seeking to streamline and automate their operations. Services may include but are not limited to: workflow automation, system integration, custom software development, API integration, and business process optimization.

## 4. Eligibility and Authority

You represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into these Terms on behalf of yourself or your company/organization.
  • You are not prohibited by law from using our services.
  • All information you provide is accurate, current, and complete.
  • You will maintain the accuracy of such information.

## 5. Legal and Ethical Use

You agree to use our services only for lawful and ethical purposes. You expressly agree that you shall not:

  • Use our services to engage in any illegal, fraudulent, or unauthorized activity.
  • Use our services to cause harm to individuals, organizations, systems, or infrastructure.
  • Attempt to circumvent, disable, or interfere with security features or access unauthorized systems.
  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon the intellectual property rights of any third party.
  • Use our services for any purpose that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Transmit any viruses, malware, or malicious code.
  • Reverse engineer, decompile, or disassemble any aspect of our services.

Violation of this clause will result in immediate termination of services without refund and may result in legal action.

## 6. Project Budget and Payment

The minimum project budget is $10,000 USD. Specific payment terms, milestones, and deliverables will be outlined in individual service agreements or statements of work. Payment terms typically include:

  • Initial deposit: 50% upon contract execution.
  • Milestone payments: As defined in service agreement.
  • Final payment: Upon project completion and acceptance.
  • Late payments are subject to interest charges of 1.5% per month (18% APR).
  • All fees are non-refundable unless otherwise specified in writing.

## 7. Intellectual Property Rights

### 7.1 Pre-Existing IP

All intellectual property rights in our pre-existing services, platforms, methodologies, tools, frameworks, and materials remain the exclusive property of Aditya Patange and California Automata™.

### 7.2 Client-Specific Deliverables

Intellectual property rights in client-specific deliverables will be governed by individual service agreements. Unless explicitly transferred in writing, California Automata™ retains all rights.

### 7.3 Licenses

California Automata™ operates under licenses from The Hacker's Playbook™ and in partnership with CETSON Technologies™ and SEA Records™. No sublicenses are granted to clients.

### 7.4 Third-Party Components

Any third-party software, libraries, or components remain subject to their respective licenses.

## 8. Confidentiality and Non-Disclosure

### 8.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of Confidential Information shared during the engagement.

### 8.2 Definition

"Confidential Information" includes business plans, technical data, customer information, financial information, and any information marked as confidential.

### 8.3 Exclusions

Confidential Information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

### 8.4 Duration

Confidentiality obligations survive for 5 years after termination of services.

## 9. Warranties and Disclaimers

### 9.1 Limited Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

### 9.2 DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

## 10. Limitation of Liability

### 10.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CALIFORNIA AUTOMATA™ AND ADITYA PATANGE FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT IN THE 12 MONTHS PRECEDING THE CLAIM.

### 10.2 Excluded Damages

IN NO EVENT SHALL CALIFORNIA AUTOMATA™ OR ADITYA PATANGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits or revenue.
  • Loss of data or business interruption.
  • Cost of substitute services.
  • Damage to reputation.

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

### 10.3 Exceptions

Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, (c) gross negligence or willful misconduct, or (d) any liability that cannot be limited by law.

## 11. Indemnification

### 11.1 Client Indemnification

You agree to indemnify, defend, and hold harmless California Automata™, Aditya Patange, and our affiliates, partners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our services.
  • Your violation of these Terms.
  • Your violation of any law or regulation.
  • Your violation of any third-party rights.
  • Any content or data you provide.

### 11.2 Our Indemnification

We agree to indemnify you against third-party claims that our services infringe valid intellectual property rights, provided you notify us promptly and cooperate in the defense.

## 12. Termination

### 12.1 Termination Rights

Either party may terminate services:

  • For convenience with 30 days' written notice.
  • Immediately if the other party materially breaches these Terms.
  • Immediately if the other party becomes insolvent or files for bankruptcy.

### 12.2 Effect of Termination

Upon termination:

  • You must pay all outstanding fees for services rendered.
  • We will deliver completed work products as specified in service agreements.
  • Confidentiality obligations survive.
  • All licenses granted to you terminate immediately.

## 13. Dispute Resolution

### 13.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

### 13.2 Arbitration

Any dispute not resolved through negotiation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall be conducted in California.

### 13.3 Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

## 14. Governing Law and Jurisdiction

### 14.1 Dual Jurisdiction

California Automata™ was founded and established in Mumbai, India in 2003 and operates under dual jurisdiction:

Primary Jurisdiction - India: These Terms shall be governed by and construed in accordance with the laws of India. California Automata™ was incorporated and commenced operations in Mumbai, India, and Indian law shall have primary jurisdiction over all matters arising under these Terms.

Secondary Jurisdiction - United States: Where applicable and not in conflict with Indian law, these Terms shall also be governed by the laws of the State of California, United States, without regard to its conflict of law provisions.

### 14.2 Compliance with Both Jurisdictions

California Automata™ operates in full compliance with:

  • Indian Laws: Including but not limited to the Information Technology Act, 2000, Companies Act, 2013, and all applicable Indian regulations
  • United States Laws: Including but not limited to California state laws and applicable federal laws

### 14.3 Conflict of Laws

In the event of any conflict between Indian law and California/US law, Indian law shall take precedence and govern, as California Automata™ was founded and is primarily domiciled in India.

### 14.4 Venue and Forum Selection

Primary Venue: Disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India. The parties irrevocably submit to the jurisdiction of the Indian courts.

Secondary Venue: If required by specific contractual obligations or mutual agreement, disputes may be adjudicated in the state and federal courts located in California, United States, provided such adjudication does not conflict with Indian law or the primary jurisdiction of Indian courts.

## 15. Modifications and Updates

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting updated Terms on our website with a new "Effective Date".
  • Sending notice to your registered email address.

Continued use of our services after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must discontinue use of our services.

## 16. General Provisions

### 16.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and California Automata™ and supersede all prior agreements and understandings.

### 16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

### 16.3 No Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

### 16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

### 16.5 Force Majeure

Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, pandemics, or government actions.

### 16.6 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

### 18.2 Organizational Structure

California Automata™ operates under the following structure:

  • Ownership: Wholly owned and operated by Aditya Patange.
  • Founded: 2003, Mumbai, India.
  • Primary Operations: India (Mumbai).
  • Secondary Operations: United States (California).
  • Powered by: The Hacker's Playbook™.
  • Official USA Operations Partner: CETSON Technologies™.
  • Project by: SEA Records™.
  • Technical Direction: Aditya Patange (Sonic Engineering).

### 18.3 Regulatory Compliance

California Automata™ is a fully regulated and compliant company operating under:

  • Indian laws and regulations (primary jurisdiction).
  • United States laws and regulations (secondary jurisdiction).
  • California state laws where applicable.

All partnerships and licenses are subject to separate agreements and do not grant any rights to third parties.
